My electronic submission of this form authorizes World Harvest Communications Company/the HarvestLine (hereinafter called HarvestLine) to become the provider for communications services for the above named Orgainzation and its sub-organizations, divisions, affiliates, members, or other subordinate entities (herinafter called the Organization) to the maximum extent practicable. HarvestLine will accept and process all orders for customers procured by the Organization, however I understand that some customers may be rejected for service with or without cause. As a matter of Protocol, as the Responsible Person named above, I authorize HarvestLine to act as the Organization's sole representative to the Provider of services. Representatives of the Organization will always contact HarvestLine first in reference to the services provided unless contacting the Provider as a regular telephone, Internet, paging, or other communications user. I also understand that I may be expected to work with any Agent of HarvestLine through whom I obtained knowledge of the HarvestLine Funding Plan for a period of one year for training and familiarization. I understand the terms and conditions of the Confidentiality Agreement below, and certify that the Organization will adhere without limitation to the Confidentiality Agreement. By submitting this application, I consent to HarvestLine seeking to verify information provided on the application in order to determine the Organization's eligibility. I further certify that I am of at least eighteen years of age and that I am the Responsible Person named above and authorized to acknowledge acceptance of the terms and agreements herein for the above named Organization. e-Confidentiality/Non-Compete Agreement: This Confidentiality/Non-Compete Agreement (hereinafter referred to as the Agreement) is entered into upon clicking the "SUBMIT" button on this form. WHEREAS, HarvestLine is in the business of providing various services including but not limited to telecommunications consulting and audit services, Information System services, advertising and marketing services, local phone service, long distance services, telephone debit cards, Internet access, Internet Telephony (IP) services, international call back services, wireless, data, video, web hosting, domain registration, and site development and other related services and; WHEREAS, the Organization desires to avail itself of the services of HarvestLine to the programs for the time, in the manner, and upon the terms and conditions hereinafter set; and WHEREAS, the Organization desires to offer customers to HarvestLine for the purpose of providing these customers with HarvestLine supplier/provider products and services: and WHEREAS, HarvestLine is willing to compensate the Organization for sales of said products and services, NOW THEREFORE, in consideration of this Agreement being executed by the applicant by the Responsible Person typing his or her name below and clicking the "SUBMIT" button, and in consideration of the mutual promises and covenants contained herein, and for other good and valuable considerations, the parties agree as follows: Non-Compete The Organization agrees not to publish or use any advertising, sales promotions, press releases or other publicity matters which use HarvestLine's or HarvestLine's other suppliers' or providers' logo, trademarks or service marks without the prior written approval of WHCC. The Organization shall submit to HarvestLine for approval all copies of marketing and advertising materials involving the name, logo, carrier identification or service marks of HarvestLine or HarvestLine's third party suppliers/providers prior to use of said materials. The Organization agrees not to represent or offer for sale either directly or indirectly, any products or services of the same or similar nature as those made evident to the Organization by HarvestLine to the existing base of HarvestLine customers or prospective customers (evidenced by executed contracts or agreements), of which Organization may have or obtain knowledge as a result of the HarvestLine/Organization relationship. Confidentiality a) The terms and conditions of this Agreement (and all written or oral discussions, negotiations, proposals and other communications related directly thereto) also shall be deemed Confidential Information, as to which each party to this Agreement shall be both a "Disclosing Party" (the party disclosing the information) and a "Receiving Party" (the party receiving the information). b) HarvestLine and the Organization acknowledge that the information acquired in connection with this Agreement is deemed Confidential and Proprietary to the "Disclosing Party" (the party disclosing the information) and will be held in trust and confidence by the "Receiving Party" (the party receiving the information). Both parties agree to maintain, in confidence, all information provided hereunder including but not limited to proposals, promotions, marketing plans, advertising campaigns, compensation plans, specifications, drawings, models, samples, data, network designs and design proposals, pricing information, research, strategic plans, computer programs, web site designs, membership lists, active and prospective customer lists, software and documentation, prototypes, and related technical or business information and to prevent its disclosure to others. To these ends, both Disclosing Party and Receiving Party agree to take all reasonable steps necessary to insure that this Confidential Information and Proprietary Property is not made available to third parties by either Party's employees, agents, representatives, associates, affiliates, suppliers or consultants who have access to the information and that they shall observe and perform the provisions of this paragraph. Both Disclosing and Receiving Parties further agree to use the information provided hereunder only for the purposes directly related to the purposes for which it was provided and for no other purposes. c) The Receiving Party shall hold all Confidential Information in confidence for three (3) years. During that period, the Receiving Party shall use at least the same degree of care as it uses with regard to its own property or confidential information to prevent the disclosure, unauthorized use or publication of Confidential Information. d) HarvestLine or the Organization may disclose Confidential Information to a person (other than a direct competitor of either Party) for legal counsel to provide advice, consultation, analysis, legal counsel or any other services in connection with this Agreement or the service provided hereunder (hereinafter "Consultant") only after Disclosing Party provides to the other Party a copy of a written agreement by such Consultant (a) to use such Confidential Information only for the purpose of providing such services to HarvestLine or the Organization, and (b) to be bound by the obligations of a Receiving Party under this Agreement with respect to such Confidential Information. e) A Receiving Party may disclose Confidential Information if such disclosure is in response to an order of request from a court, the FCC or other regulatory body provided however, that before making such disclosure, the Receiving Party shall first give the Disclosing Party reasonable advance notice and opportunity to object to the order or request and/or to obtain a protective order covering the Confidential Information to be disclosed. HarvestLine warrants that this Internet offer is genuine, and the Organization represents and warrants that the Responsible Person executing this Agreement on its behalf is fully authorized to do so. The Organization's Responsible Person's name entered above and again below, and submission of this Affiliate Ministry request by clicking the "SUBMIT" button below acknowledge the Organization's acceptance of this Agreement.
